Mainland

Let’s connect and take your business forward in the UAE

Mainland company formation remains one of the most popular options for investors looking to establish a presence in the UAE. Mainland businesses benefit from the flexibility to operate across the UAE market, work directly with government entities, and expand without the geographical limitations that may apply to certain Free Zone structures. Choosing the right legal structure depends on your business activity, ownership requirements, and long-term commercial objectives.

Limited Liability Company (LLC)

A Limited Liability Company (LLC) is the most common legal structure for conducting business on the UAE Mainland. An LLC provides flexibility for businesses across a wide range of commercial, industrial, and professional activities while offering shareholders limited liability protection.

Most Mainland business activities now permit 100% foreign ownership, subject to the regulations governing specific strategic or regulated sectors. Companies are licensed by the relevant Department of Economy and Tourism (or equivalent authority in the respective Emirate) and must maintain a registered business address in the UAE.

An LLC can be established with one or more shareholders, and the liability of each shareholder is generally limited to their share in the company’s capital. This structure offers credibility, operational flexibility, and access to the UAE’s growing local and international markets.

Foreign Ownership Considerations

While most UAE Mainland business activities permit 100% foreign ownership, certain strategic or regulated sectors may still require local participation, additional approvals, or specific ownership structures. These requirements vary depending on the nature of the business activity and the relevant regulatory authority. NHBC assists clients in identifying the applicable regulations and selecting the most suitable structure for their business objectives. There is currently no prescribed minimum share capital requirement for most UAE Mainland LLCs, although the company should maintain capital appropriate to its business activities and operational needs.

Civil Partnership

A Civil Partnership is a legal structure typically used by licensed professionals providing consultancy or service-based activities, such as legal, engineering, accounting, architectural, and management consulting services. The business is owned and operated by two or more partners who share responsibility for managing the practice.

Unlike a Limited Liability Company (LLC), a Civil Partnership does not provide limited liability protection. Partners are generally jointly responsible for the obligations and liabilities of the business, unless otherwise agreed and permitted under applicable regulations.

The ownership and licensing requirements for Civil Partnerships vary depending on the professional activity being undertaken and the relevant licensing authority. Certain regulated professions may require additional approvals, qualifications, or specific ownership arrangements.

NHBC assists professionals in determining the most suitable legal structure, obtaining the required approvals, and ensuring compliance with current UAE licensing regulations.

‍Sole Proprietorship

A Sole Proprietorship is a business structure owned and operated by a single individual. It is commonly used by independent professionals, consultants, freelancers, and small business owners who wish to conduct business under their own ownership and control.

The owner retains full authority over business operations and decision-making while also assuming full responsibility for the business’s liabilities and obligations. This structure is often preferred for professional activities that do not require multiple shareholders or a corporate ownership framework.

Ownership and licensing requirements vary depending on the business activity and the relevant licensing authority. Certain regulated professions may require professional qualifications, additional approvals, or specific licensing conditions.

A Sole Proprietorship offers a straightforward and cost-effective route to establishing a presence in the UAE while maintaining complete control over the business.

Foreign Branch

A Foreign Branch Office allows an overseas company to establish a presence in the UAE without creating a separate legal entity. The branch remains an extension of the parent company and is authorised to carry out activities that are consistent with those of the parent organisation.

A Foreign Branch can be an attractive option for international businesses seeking to expand into the UAE market while maintaining direct ownership and control from their home jurisdiction. The branch operates under the name of the parent company and benefits from the parent company’s reputation, resources, and operational experience.

The licensing and regulatory requirements for a Foreign Branch vary depending on the nature of the business activity, the jurisdiction in which it is established, and the approvals required from the relevant authorities. Certain activities may require additional approvals from sector-specific regulators or government entities.

As the branch is not a separate legal entity, the parent company generally retains responsibility for the branch’s obligations and liabilities. The branch must appoint an authorised representative and maintain a registered office in the UAE.

NHBC assists international companies throughout the branch registration process, including licence applications, regulatory approvals, document legalisation, and ongoing compliance requirements.
