One of the most important decisions when setting up a business in the UAE is choosing where to establish your company. The UAE offers both Mainland and Free Zone company structures, each with different licensing authorities, requirements and advantages.

UAE Mainland Company Formation

Mainland companies are licensed by the relevant economic authority of the Emirate in which they are established. In Dubai, this is the Dubai Department of Economy and Tourism (DET).

For most business activities, foreign entrepreneurs can own 100% of their Mainland company without requiring a UAE national shareholder. Certain activities remain subject to specific ownership or regulatory requirements.

A Mainland company may be appropriate where your business intends to operate extensively within the UAE market, requires particular commercial premises, has specific staffing requirements or carries out an activity for which a Mainland license is preferable or required.

UAE Free Zone Company Formation

The UAE has numerous Free Zones, each with its own licensing authority, permitted activities, company structures, facilities and requirements.

Free Zone companies generally allow 100% foreign ownership and are frequently used by consultants, international businesses, online businesses, investors, holding companies and companies establishing a regional presence in the UAE.

Foreign Branch

A Foreign Branch Office allows an overseas company to establish a presence in the UAE without creating a separate legal entity. The branch remains an extension of the parent company and is authorised to carry out activities that are consistent with those of the parent organisation.

A Foreign Branch can be an attractive option for international businesses seeking to expand into the UAE market while maintaining direct ownership and control from their home jurisdiction. The branch operates under the name of the parent company and benefits from the parent company’s reputation, resources, and operational experience.

The licensing and regulatory requirements for a Foreign Branch vary depending on the nature of the business activity, the jurisdiction in which it is established, and the approvals required from the relevant authorities. Certain activities may require additional approvals from sector-specific regulators or government entities.

As the branch is not a separate legal entity, the parent company generally retains responsibility for the branch’s obligations and liabilities. The branch must appoint an authorised representative and maintain a registered office in the UAE.
